About Corporate Development Department

 

Umicore’s Corporate Development Department houses the Group’s M&A and Strategy competences. The team is responsible for the management of acquisition, divestment and joint-venture files and provides related advice and services to its internal customers. Corporate Development provides strategic support to the BUs as well as to Group management linked to Umicore’s overall strategy and manages key strategic projects.

 

 

What you will be doing

 

As Senior M&A Manager, you will join our Corporate Development team, a dynamic team who advise, support and coach the Umicore Group and its businesses and country organizations in the field of M&A transactions, valuation and corporate strategy development.

Your contribution within this team:

  • You assist BUs in their strategy / M&A reflections in regard to their external and organic challenges and opportunities.
  • You take the lead in the coordination of all stages of a transaction process from sourcing to post-closing, including negotiations and committees’ approvals.
  • You perform detailed strategic analysis of opportunities (market and company analysis, strategic fit, value proposition, business model and financial forecasting). You help to establish the innovation roadmap, identifying priorities, gaps, and detailing strategy
  • You elaborate value creation strategies by building comprehensive business cases and valuation models.
  • You support the due diligence process to validate strategic assessment and evaluate risks and related mitigation plans.
  • You establish capital and industrial alliances with promising players and develop partnerships with Venture Capital funds.
  • You support the M&A Director in building investment cases for the Management Board and the Supervisory Board.


Who we are looking for

 

  • You combine a Master Degree in Economics, Finance or Engineering with at least 5 years of experience in investment banking, private equity and / or corporate M&A. Additional experience in growth and technology oriented M&As is an asset for this position.
  • You have extensive analytical skills in financial modelling and valuation, while also mastering corporate & business strategy concepts.
  • You are experienced with M&A processes including strategic reviews, due diligence, structuring & negotiating key principles in legal documentation etc.
  • You have strong communication & interpersonal skills and are competent to create a strong network with internal and external stakeholders.
  • CFA and/or MBA qualifications would be a key asset.
  • You are fluent in written & spoken English. Additional EU language is a plus.
